of Transnationale Aufstiegsmobilität, Frankfurt am Main
§ 1 Name, registered office, financial year
The association bears the name "Transnationale Aufstiegsmobilität". Once entered in the register of associations, it will bear the suffix "e. V.". The association has its registered office in Frankfurt am Main. The financial year of the association is the calendar year.
§ 2 Purpose of the association
The association pursues exclusively and directly charitable purposes within the meaning of the section "Tax-privileged purposes" of the German Fiscal Code (Abgabenordnung). The purpose of the association is to promote public and vocational education, including political education, as well as science and research. The association sees itself as a think-and-do tank: it combines applied research with concrete civic action.
The purpose set out in these statutes is achieved in particular by carrying out the following tasks:
- Promoting transnational educational and mobility experiences for young people in Europe, and political advocacy for maintaining and expanding the relevant programmes, in particular Erasmus+.
- Strengthening inclusive civil society institutions that make responsibility, achievement and participation in society possible, through educational offers, seminars, workshops, scholarships and mentoring programmes.
- Academic study of social upward mobility, European civil society and the design of inclusive institutions, and the publication and dissemination of the results as open access publications and policy papers.
- Researching and testing the use of artificial intelligence and data-based methods to strengthen civic participation and inclusive institutions. The results are made available to the public.
- Connecting actors from civil society, politics, academia and business to jointly develop innovative approaches, especially where digital transformation and civil society meet.
§ 3 Non-profit nature
The association acts selflessly. It does not primarily pursue its own economic interests.
§ 4 Membership
Any natural or legal person who supports the purpose of the association may become a member. An application for membership must be submitted in writing to the Board. The Board decides on the application at its own discretion. If the application is rejected, the Board is not obliged to inform the applicant of the reasons.
Upon admission, the member accepts the statutes of the association.
§ 5 End of membership
Membership ends upon death, voluntary resignation or exclusion by the Board. Resignation must be declared to the Board in writing at least one month before the end of the current financial year.
A member may be excluded if they fail to pay their membership fee for a period of two years or if they act in a way that harms the association. The decision to exclude a member requires a two-thirds majority of the Board and must be justified.
§ 6 Rights and duties of members, membership fees
Members have the right to attend the General Meetings of the association, to submit motions and to exercise their right to vote.
Members are obliged to pay an annual membership fee, the minimum amount of which is set by the General Meeting. On request, the Board may defer, reduce or waive fees.
§ 7 Bodies of the association
The bodies of the association are the General Meeting and the Board.
§ 8 General Meeting
An ordinary General Meeting takes place at least every two years. The Board must invite all members to it in writing or in text form at least two weeks in advance, stating the provisional agenda. Motions for the General Meeting must be submitted to the Board in writing at least one week in advance.
The General Meeting is responsible for:
- Receiving the Board's activity report, including a report by the Treasurer.
- Receiving the Auditor's report.
- Discharging the Board.
- Electing the new Board. The Board is elected for a term of two years by a simple majority of the members present. The Board members are elected in separate ballots.
- Electing an Auditor. The Auditor serves a term of two years and examines the report on the association's bookkeeping. The Auditor may not be a member of the Board.
- Setting the minimum membership fee.
- Amendments to the statutes.
- Deciding on motions from members.
- Dissolving the association.
The Board must call an extraordinary General Meeting if at least a quarter of the members request this in writing, stating the reason. The Board may call an extraordinary General Meeting at any time if there is good cause.
Every duly convened General Meeting has a quorum if at least three members entitled to vote are present. It decides by simple majority unless these statutes provide otherwise. In the event of a tie, a motion is deemed rejected.
The General Meeting may be held in hybrid form or entirely virtually by video conference, provided that resolutions can be passed properly.
Minutes must be taken of the General Meeting and its resolutions. They must be signed by the Chair of the Board and countersigned by another Board member.
§ 9 Board
The Board manages the business of the association necessary to fulfil its purpose. It carries out the resolutions of the General Meeting and manages the association's assets.
The Board consists of at least three members: the Chair, the Deputy Chair and the Treasurer. The General Meeting may elect additional Board members for specific areas of responsibility. The Board within the meaning of § 26 of the German Civil Code (BGB) consists of the Chair and the Deputy Chair. Each of them is authorised to represent the association alone.
The Board has a quorum if at least two of its members are present. Resolutions are passed by simple majority. In the event of a tie, the Chair has the casting vote.
If a Board member leaves office before the end of their term, the Board may appoint a successor to hold the office on an interim basis until the next ordinary General Meeting.
The Treasurer manages the association's funds and keeps proper accounts of all income and expenditure. The Treasurer presents a financial report at the ordinary General Meeting.
§ 10 Use of the association's funds
The association's funds may only be used for the purposes set out in these statutes. Members do not receive any payments from the association's funds. No person may benefit from expenses that are unrelated to the purpose of the association or from disproportionately high remuneration.
If the association is dissolved or terminated, or if its tax-privileged purposes cease to apply, its assets pass to a public-law corporation or another tax-privileged corporation, which must use them directly and exclusively for charitable educational purposes.
§ 11 Data protection
The association processes its members' personal data to fulfil the purposes set out in these statutes and to manage its membership, in accordance with the applicable data protection regulations, in particular the GDPR and the German Federal Data Protection Act (BDSG). Data is not passed on to third parties unless this is necessary to fulfil the association's purpose or is required by law.
§ 12 Amendments to the statutes
Amendments to the statutes can only be adopted by a two-thirds majority of the members present and entitled to vote at the General Meeting.
§ 13 Dissolution of the association
The dissolution of the association can only be decided by an extraordinary General Meeting convened for this purpose, with a three-quarters majority of the members present and entitled to vote.
§ 14 Entry into force
These statutes were adopted at the founding meeting on [Insert date] and enter into force when signed by the founding members. Until the association is entered in the register of associations, they apply as the statutes of the unregistered association.
